2. Scope and acceptance

These Terms & Conditions (“Terms”) apply to access to and use of TRIVO, including the landing page, web application, account area, subscription functionality and digital features made available by STANDARD DIGITAL SOLUTION SRL (“TRIVO”, “we”, “us” or “our”).

By creating an account, purchasing or activating a subscription, or otherwise using TRIVO, the customer confirms that it has read and accepted these Terms. A person accepting these Terms for a company confirms that they have authority to bind that organisation.

These Terms apply to customers in Romania and, where TRIVO is offered there, other EU Member States, subject to mandatory EU and national law.

3. The TRIVO service

TRIVO is a digital transport-management platform designed to help customers organise fleets, drivers, vehicle availability, routes, trips, empty and loaded kilometres, transport orders, costs, revenues, financial results and related operational records.

Features may include PDF order upload and data extraction, route preparation, dashboards, fleet status, financial calculations, exports and workflow tools. Available functionality depends on the selected plan and current version.

Unless expressly agreed otherwise, TRIVO is not a carrier, freight forwarder, transport broker, insurer, accounting provider, tax adviser or legal adviser and does not itself perform transport services.

4. Accounts and customer responsibility

Customers must provide accurate registration information and keep credentials secure. The customer is responsible for activity performed through its account and for authorised users’ compliance with these Terms.

The customer must promptly notify TRIVO of suspected unauthorised access. Accounts may not be sold, transferred or made available to unauthorised third parties without written consent.

5. Subscription plans, prices and payment

TRIVO may be offered under different subscription plans. Features, limits, billing period, price, applicable taxes and promotional conditions displayed on the subscription or checkout page at purchase form part of the contract.

Unless expressly stated otherwise, subscription fees recur for each billing period until cancellation. VAT or other legally applicable taxes may be added where not already included.

If payment cannot be collected, TRIVO may retry payment, request another payment method, restrict paid functionality or suspend the subscription after appropriate notice, subject to mandatory law.

6. Plan changes and promotions

TRIVO may change plan names, limits, features or prices for future subscription periods. The plan, billing interval, price and applicable taxes presented in the application and Stripe checkout at the time of purchase are the terms applicable to that purchase.

TRIVO may occasionally make a separate promotional offer. Any eligibility rules, duration or discount will be stated with that offer. Promotional rights cannot be exchanged for cash or combined with another promotion unless expressly stated.

7. Customer data, transport orders and PDF extraction

The customer remains responsible for documents and information uploaded to TRIVO, including transport orders, driver or vehicle information, routes and financial data, and confirms it has the necessary rights and lawful basis to provide them.

PDF extraction, route recognition, automated calculations and similar features are assistance tools. Extracted or generated information may contain errors or omissions. The customer must review important operational, contractual, route, price and financial information before relying on it.

The customer remains responsible for transport decisions and compliance with transport, employment, tax, accounting, road-safety and other rules applicable to its activities.

8. Acceptable use

Users must use TRIVO lawfully and must not use it for fraud or unlawful activity; upload malware; compromise security; circumvent access or subscription controls; unlawfully reverse engineer protected elements; process third-party information without an appropriate legal basis; or place unreasonable automated load on the service.

9. Intellectual property

TRIVO, its software, interface, design, branding, databases, documentation and original content are owned by or licensed to STANDARD DIGITAL SOLUTION SRL and protected by applicable intellectual-property law.

During an active subscription, the customer receives a limited, non-exclusive and non-transferable right to use TRIVO within the selected plan. The customer retains ownership of its own data and documents, while granting the rights necessary for TRIVO to host, process, display, secure and back them up for service provision and legal compliance.

10. Availability, maintenance and changes

TRIVO aims to provide a reliable service but does not guarantee uninterrupted or error-free availability unless a separate service-level agreement states otherwise. Maintenance, updates, infrastructure failures, security events or circumstances outside reasonable control may temporarily affect access.

TRIVO may improve or modify features. Material changes significantly affecting an active paid service will be communicated where required by applicable law or contract.

11. Warranties and limitation of liability

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including mandatory statutory rights.

For business customers, to the maximum extent permitted by law, TRIVO is not liable for indirect or consequential loss, loss of profit or business opportunity, loss caused by inaccurate customer input, or operational decisions made without verifying automatically extracted or calculated information.

Any limitation applies only to the extent permitted by Romanian law and mandatory EU law. Separate enterprise agreements may provide different liability rules.

12. Personal data and privacy

Personal data is processed in accordance with applicable data-protection law, including Regulation (EU) 2016/679 (GDPR) and applicable Romanian law. The Privacy Policy describes the categories of data, purposes, legal bases, retention, recipients, transfers and data-subject rights.

Where TRIVO processes personal data on behalf of a business customer as processor, the parties may enter into a data processing agreement meeting Article 28 GDPR requirements.

13. Cancellation, suspension and termination

A customer may cancel a recurring subscription using the cancellation functionality or method communicated for the relevant plan. Unless mandatory law or the offer states otherwise, cancellation prevents renewal and paid access continues through the already-paid billing period.

TRIVO may suspend or terminate access for material breach, non-payment, security risk or unlawful use. Where appropriate and legally required, notice and an opportunity to remedy will be provided.

Customers should export information they are legally required to retain before access ends. Retention and deletion are subject to the Privacy Policy, data-processing arrangements and legal obligations.

14. Consumers and mandatory EU rights

TRIVO is primarily designed for professional/business use. If a natural person contracts outside their trade, business, craft or profession, that person may qualify as a consumer and benefit from mandatory consumer-protection rules.

Where applicable, this includes Romanian legislation implementing EU rules on distance contracts and digital services. Nothing in these Terms waives a consumer right that cannot legally be waived.

Where a consumer requests immediate performance of a paid digital service during a statutory withdrawal period, the consequences depend on the service, the consumer’s express request or consent and mandatory law applicable when contracting. Any legally required checkout consent applies to that transaction.

15. Governing law and disputes

These Terms and the contractual relationship with STANDARD DIGITAL SOLUTION SRL are governed by Romanian law, together with directly applicable EU law.

For business customers, disputes not resolved amicably are submitted to competent Romanian courts, subject to mandatory jurisdiction rules.

For consumers, the choice of Romanian law and jurisdiction does not deprive a consumer of mandatory protection granted by the law of the EU Member State where they habitually reside where such protection applies, nor restrict mandatory jurisdictional rights under EU law.

16. Changes to these Terms

TRIVO may update these Terms to reflect changes to the platform, business model, security requirements or applicable law. The current version will be made available through TRIVO or its website.

Material changes affecting an existing subscription will be communicated clearly and with advance notice where required by law.
